Report and Notice Regarding the Establishment of Current Mobility Co., Ltd.

We are pleased to announce the establishment of Current Mobility Co., Ltd. as a new company specializing in island and community-based tourism mobility businesses, leveraging the experience and insights in the mobility business cultivated at Zenmov.

Japan is an island nation with 6,852 islands, and there are 302 designated remote islands in the country. In the Setouchi area as well, there is annual accommodation demand of more than 40 million stays, and many similar island regions exist overseas.

We believe that refining a sustainable tourism mobility business model on Japan's remote islands is significant not only for contributing to local economies, but also from the perspective of future expansion across Japan and abroad.

While there is strong demand for tourism in rural and remote island areas, circumstances vary by region, and we feel that in many cases the links between “mobility,” “booking,” “information,” and “purchasing” are not sufficiently connected, making it difficult for visits to lead to local spending or ongoing relationship building.

Current Mobility was launched with the goal of connecting these fragmented pathways and creating a system in which the local economy circulates while transforming the mobility experience on the islands itself into added value.

Starting with the Setouchi area, we intend to advance the development of a tourism mobility hub that integrates “mobility, booking, merchandise sales, and relationship-building with visitors,” and to update Japan's attractive tourist destinations into forms suited to the next era.

Please note that this business differs from Zenmov's IT and operational support services that have supported the mobility businesses of other companies up to now, as it requires people to be on the ground and nurture it while deeply rooted in the local community. For that reason, we are advancing it as a separate company in order to clarify the execution structure.

In order to bring this concept to life quickly, Current Mobility has decided to raise funds by issuing shares through a public offering capital increase procedure called a DPO (Direct Public Offering). A DPO is a fundraising method in which a company directly solicits investors for shares without going through securities companies or similar intermediaries.

For growth-oriented small and medium-sized companies that share our business philosophy and direction and will accompany us over the long term, this is the optimal method, and in recent years, examples have been rapidly increasing in Japan as well.

This time, under the guidance of a specialized certified public accountant and in accordance with the Financial Instruments and Exchange Act, we will submit a securities notice to the Kanto Local Finance Bureau and issue “preferred shares” with a maximum amount of 99 million yen.

These shares do not have voting rights, but if the company is able to generate profits, preferred dividends totaling 20% of the current fiscal year's net income will be paid.
